(“CPI”).  These terms and conditions (“Terms of Service”) govern your access to and use of the Site as well as the content, functionality, goods and/or services offered through the Site. Throughout these Terms of Service, the terms “we”, “us” and “our” refer to CPI, and the terms “you” and “your” refer to any visitor to or user of the Site.

This Terms of Service applies to the Site and to any other CPI-related sites, apps, communications and other services (collectively, the “Services”) that state that they are offered under these Terms of Service.  These Terms of Service apply to all visitors to our Site and registered users (“Users”) of the Services, including but not limited to Users seeking employment and/or contractor opportunities and companies seeking to hire Users.

YOU MUST BE AT LEAST 18YEARS OF AGE

By using and/or registering and/or providing any information on the Site, you certify that you are at least eighteen (18) years of age and of legal age to form a binding contract. If you are under 18 years of age you must immediately exit and make no further use of the Site. We do not collect personally identifiable information from any person whom we actually know is under the age of eighteen (18).

CHANGES TO THE SITEAND/OR TERMS OF SERVICE

From time to time and without providing notice to you, we will make changes or improvements to the items, services, and/or features included on the Site. Additionally, from time to time and in our sole discretion, we will change or make additions to these Terms of Service, in which case we will post the revised Terms of Service on the Site and the revised Terms of Service will be effective immediately upon posting. If you choose, or are provided with, a user name, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Site or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to your account or any unauthorized use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. We have the right to disable your account or any user name, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any reason, including if, in our opinion, you have violated any provision of these Terms of Service. Additionally, if we believe that you have breached or violated of any of the Terms of Service, we may immediately terminate your use of and/or access to the Site.

YOUR CONTENT

As Users of the Services, all information you post, transmit, or submit through the Services (“Your Content”) is intended to be shared with other Users such as employers and others seeking employees and/or contractors. By submitting Your Content to us, you represent and warrant that you own all rights to Your Content and/or that you have the right to give us the license described below, including the correct and legal permissions and consents for any personally identifiable information you may provide to, or upload by way of, the Services. You further represent and warrant that Your Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any other person. We are not under any obligation to review Your Content, although we reserve the right to do so with or without notice to prevent or rectify any alleged violations of this Agreement or any applicable law. We reserve all defenses made available under the Communications Decency Act and any other applicable laws, rules, or regulations. We may refuse to accept or display Your Content, and remove or delete all or any portion of Your Content at any time. You understand that CPI is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to Your Content, and that Your Content is not the responsibility of CPI. Your Content is not considered confidential by CPI to the extent set forth herein, and you agree and understand is intended to be shared with other Users of the Services as well as third parties, all in CPI’s sole discretion, and CPI has no control or liability over what others do with Your Content. You understand and agree that CPI will not be liable for any treatment of Your Content as non-confidential and you waive all rights with respect to any claim concerning confidentiality. If you do not agree that Your Content will be considered public and will not be considered confidential to the extent set forth herein, you must not use the Services.

LICENSE TO CPI

You will retain all rights to Your Content. You hereby grant CPI and its owners, affiliates, representatives, licensees, licensors and assigns(the “CPI Parties”) a non-exclusive, fully paid, royalty-free, world-wide, universal, transferable license to display, modify, publicly perform, distribute, store, broadcast, transmit and reproduce Your Content, logo(s),service marks, trademarks and trade names in conjunction with the Services, including in developing, enhancing, and supporting the Services. You waive and agree never to assert any and all moral rights in and to all of the materials licensed in this Section. We reserve the right to display advertisements in connection with Your Content.

SOME STATESDO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL DAMAGES, OR LIMITATIONSUPON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS OR EXCLUSIONSMAY NOT APPLY TO YOU. You agree to indemnify, defend and hold harmless CPI, and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, against any and all claims, demands, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, that such parties may incur resulting from or alleged to result from: (i) your breach of these Terms of Service or the documents they incorporate by reference; (ii) your violation of any law, regulation, rule or order pertaining to your use of the Site or your violation of the rights of a third-party; or (iii) your unauthorized or unlawful use of the Site.

NOEXTRATERRITORIALITY

CPI is based in New York in the United States of America and makes no claims that the Site is appropriate for, or may be accessed, downloaded or used by, persons residing outside of the United States of America. We make no representation that the Site is appropriate or may legally be used in the nation, state, province or other jurisdiction in which you reside, do business, or are incorporated or organized, and access to the Site is prohibited from jurisdictions where the Site, or its content, is illegal.

Those who choose to access the Site do so on their own initiative and are responsible for compliance with applicable laws. You may not use or export any products in violation of U.S. export laws and regulations or the export laws and regulations of any other country. Access to the Site may not be legal by certain persons in certain countries. If you access the Site from outside the United States of America, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless been forceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

ASSIGNMENT

We may assign these Terms of Service, in whole or in part, in our sole discretion. You may not assign your rights under these Terms of Service without our prior written permission. Any attempt by you to assign your rights under these Terms of Service without our permission shall be void.

HEADINGS

The headings of the various sections of these Terms of Service have been inserted only for the purposes of convenience, and those headings shall not be deemed, in any manner, to modify, enlarge or restrict any of the provisions of these Terms of Service.

TERMINATION

You agree that we, in our sole discretion, may terminate your use of, and/or access to, the Site, for any reason and without prior notice, including, without limitation, if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. FURTHER, YOU AGREE THAT WESHALL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOURACCESS TO THE SITE.

You may terminate your account with us by writing to us at CPI, 10 East 40th Street, 40thFloor, New York, New York 10016, and instructing us to close your account for the Services. We will retain Your Content after termination unless you instruct us in writing to delete your account and profile.

WAIVER/ ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.  If any provision of these Terms of Service is found to be invalid by any court having jurisdiction to make such a determination, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect.

These Terms of Service and any policies or operating rules posted by us on this Site constitutes the entire agreement and understanding between you and us, and governs your use of the Site, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

GOVERNING LAW AND JURISDICTION

You agree that these Terms of Service, and any suit, action or proceeding arising out of or in connection with any dispute with CPI, including without limitation any claim involving CPI or its parents ,subsidiaries, affiliates, officers, directors, and other partners, employees, consultants and agents, shall be governed by and construed in accordance with the laws of the State of New York, including, without limitation, its validity, construction, interpretation and performance, and without regard to provisions regarding conflicts of law.

You agree that with respect to any suit, action or proceeding arising out of or in connection with any dispute with CPI, including without limitation any claim involving CPI or its parents, subsidiaries, affiliates, officers, directors, and other partners, employees, consultants and agents: (i) you will submit to the jurisdiction of the courts of New York, including, without limitation, the United States District Court for the Southern District of New York, and (ii)you irrevocably waive any objection that you may have at any time to the laying of venue of any suit, action or proceeding arising out of or relating hereto brought in any such court; irrevocably waive any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum; and irrevocably waive the right to object, with respect to any such claim, suit, action or proceeding brought in any such court, that such court does not have jurisdiction over you.

SURVIVABILITY AND RESERVATION OF RIGHTS

The following provisions of the Terms of Service survive the expiration or termination of the Terms of Service for any reason whatsoever: Limitation of Liability, Disclaimer of Warranties, Termination, Indemnification, and Governing Law and Jurisdiction.

We reserve all rights not expressly granted to you herein.
